Start-up & Emerging Businesses - Provide advice and counsel in the formation, start-up and capitalization of closely held businesses. Assist in choice of entity planning, taxation issues and the drafting of corporate, partnership and LLC agreements. Advise on business sale issues, employment issues, shareholder and partner issues, and ownership transition. Serve as "general counsel" in day to day client business operations.

IRS & State of Washington Practice & Procedure - Representation of clients before the IRS and State Department of Revenue. Counsel clients regarding Income, Sales and Business and Occupation Tax issues. Audit preparation and Appeals.

Corporations, Limited Liability Companies, and Partnerships - Transactional planning for Corporations, LLC's and Partnerships including, family estate planning, operational and tax issues. Advise on management and control issues, capitalization, and income and loss allocations.

Individual and Business Tax Planning and Tax Return Preparation - Provide tax planning advice to Individuals and businesses and prepare complex C Corporation, S Corporation, Partnership, Fiduciary, Gift, Estate, and Individual income tax returns.

Estate Planning & Probate - Provide advice on wealth transfer strategies.  Prepare estate planning documents to minimize estate taxes and to carry out the wishes of the client.

Provided tax and business planning for six plus years to closely held businesses, public companies, and their owners. Represented businesses operating as S corporations, C corporations, and partnerships, including real estate developers, professional service corporations, and technology companies. Led the Seattle office, State and Local Tax practice, providing tax planning alternatives to state and local tax issues. Technical experience includes partnership liquidations, debt restructuring and foreclosure issues, minimum gain analysis, and, partner debt allocations. Worked closely with business owners to maximize tax return filing positions and prepared complex corporate, partnership and individual income tax returns. Represented clients before the IRS and state taxing authorities.
